While there is a nominal "security" cash deposit the majority of our "fees" are usually based on participation in the stock value after the company becomes publicly traded. Cash consulting fees are paid out of proceeds from an offering. This incentivizes us to make sure the process is completed in a timely manner and your company is successful. There is minimal cash "out of pocket" prior to a successful offering.
There are other costs involved with going public. Most of the costs are fees and expenses directly related to completing the process. Certain agencies require fees, there are expenses for accounting and audits, and legal fees. Pubco Advisors does not participate in these fees, they are simply passed along and are usually paid directly by the company. Most of these fees are typically paid out of proceeds from an offering.
The total cash costs including all outside agencies and entities can range from $ 50,000 to $ 100,000. However, under our program and guidance these costs can be spread out over the course of the process. This allows the company to budget over time AND most importantly solicit investments to support the process. Many companies have completed the process with very little upfront out of pocket costs, depending instead on pre-IPO investors to finance the process.
True "start up" companies, without revenue, are usually not eligible to become publicly traded. However, a small amount of legitimate revenue from operations will qualify a company as a development stage company. With legitimate operations underway we can complete the process in a timely and cost-effective manner. We do work with pre-revenue businesses to help them raise seed capital in anticipation of generating revenue and going public.
Technically almost any legitimate business can become public. However, it does not make sense for some business because there may be limited interest from investors. Discuss with us your business idea.
The most important criteria for success in the public market is a product or service with growth and/or expansion potential. Please discuss with our partners your business model and future plans to determine your business's suitability to become publicly traded.
The process may seem to be complicated due to the various government and related entities that are part of the process. We have successfully navigated the process many times. Whether we pursue a straight approval process or a reverse merge or other method we will manage the entire process on your behalf. You can have confidence that the entire process will be managed in an efficient and economical manner.
Many companies purchase shells to take their business public quickly. Purchasing a shell requires significant due diligence and expertise to attain the proper results. Shells are available in various conditions and at various price points. We always have access to shells and recommend you discuss your options with us before you make a financial committment. We can help with due diligence and structure if you have a shell in mind.
